৮৷ (১) এই আইনের বিধান এবং বিধির বিধানাবলী সাপেক্ষে, সিকিউরিটির যথার্থ ইস্যু নিশ্চিতকরণ, সিকিউরিটিতে বিনিয়োগকারীদের স্বার্থ সংরক্ষণ এবং পুঁজি ও সিকিউরিটি বাজারের উন্নয়ন ও নিয়ন্ত্রণ করাই হইবে কমিশনের দায়িত্ব ও কার্যাবলী৷ (২) বিশেষ করিয়া এবং উপরিউক্ত বিধানাবলীর সামগ্রিকতা ক্ষুণ্ন না করিয়া, অনুরূপ ব্যবস্থার মধ্যে নিম্্নরূপ যে কোন বিষয় থাকিতে পারে, যথা:- (ক) ষ্টক এক্সচেঞ্জ বা কোন সিকিউরিটি বাজারের ব্যবসা নিয়ন্ত্রণ; 38 [(খ) স্টক ব্রোকার, সাব ব্রোকার, শেয়ার হস্তান্তরকারী প্রতিনিধি, ইস্যুর ব্যাংকার, মার্চেন্ট ব্যাংকার, ইস্যুর নিবন্ধক, ইস্যুর ম্যানেজার, অবলিখক, পোর্টফোলিও ম্যানেজার, বিনিয়োগ উপদেষ্টা, ট্রাষ্ট দলিলের ট্রাষ্টি, সম্পদ ব্যবস্থাপনা কোম্পানী, হেফাজতকারী, ক্রেডিট রেটিং কোম্পানী এবং সিকিউরিটি মার্কেটের সংগে সম্পৃক্ত হইতে পারে এইরূপ অন্যান্য মধ্যবর্তী প্রতিষ্ঠানের কার্য নিরূপণ ও নিয়ন্ত্রণ;] (গ) মিউচুয়্যাল ফান্ডসহ যে কোন ধরনের যৌথ বিনিয়োগ পদ্ধতির নিবন্ধন, নিয়ন্ত্রণ ও পরিচালনা; (ঘ) কর্তৃত্ব প্রাপ্ত আত্ম-নিয়ামক সংগঠনসমূহের উন্নয়ন, পরিবীক্ষণ ও নিয়ন্ত্রণ; (ঙ) সিকিউরিটি বা সিকিউরিটি বাজার সম্পর্কিত প্রতারণামূলক এবং অসাধু ব্যবসা বন্ধকরণ; (চ) বিনিয়োগ সংক্রান্ত শিক্ষার উন্নয়ন এবং সিকিউরিটি বাজারের সকল মাধ্যমের প্রশিক্ষণ; (ছ) সিকিউরিটির ক্ষেত্রে সুবিধাভোগী ব্যবসা নিষিদ্ধকরণ; (জ) কোম্পানীর শেয়ার বা স্টক ও কর্তৃত্ব গ্রহণ এবং কোম্পানীর অধিগ্রহণ ও নিয়ন্ত্রণ; (ঝ) সিকিউরিটি ইস্যুকারী, ষ্টক এক্সচেঞ্জ এবং উহাদের মাধ্যমে এবং সিকিউরিটি বাজারের আত্ম-নিয়ামক সংগঠনের নিকট হইতে তথ্য তলব, উহাদের পরিদর্শন, তদন্ত ও অডিট; 39 [(ঝঝ) আপাততঃ বলবৎ অন্য কোন আইনে যাহা কিছু থাকুক না কেন, বাংলাদেশ ব্যাংককে অবহিতক্রমে, কোন ব্যাংক, বীমা ও আর্থিক প্রতিষ্ঠান, সংবিধিবদ্ধ সংস্থা বা অন্যান্য কর্তৃপক্ষ হইতে সিকিউরিটিজ লেনদেন সম্পর্কিত তদন্তাধীন ব্যাংক হিসাব সংক্রান্ত তথ্য ও রেকর্ড তলব; (ঝঝঝ) সরকারের পূর্বানুমোদনক্রমে, দেশী ও বিদেশী কর্তৃপক্ষ বা সংস্থার সহিত সিকিউরিটিজ সম্পর্কিত সহযোগিতা ও তথ্য বিনিময় চুক্তি সম্পাদন;] (ঞ) সিকিউরিটি ইস্যুকারী আর্থিক কর্মকাণ্ড সম্পর্কিত কর্মসূচী সংকলন, বিশ্লেষণ ও প্রকাশন; (ট) এই ধারার উদ্দেশ্য পূরণকল্পে, ফিস বা অন্যান্য খরচ ধার্য্য; (ঠ) উপরিউক্ত উদ্দেশ্য বাস্তবায়নের প্রয়োজনে গবেষণা পরিচালনা এবং তথ্য ও উপাত্ত প্রকাশ করা; 40 [(ঠঠ) ডেরিভেটিভসহ সিকিউরিটিজ লেনদেন সংক্রান্ত সেটেলমেন্টের জন্য স্থাপিত ক্লিয়ারিং কর্পোরেশনের কার্য নিয়ন্ত্রণ;] (ড) এই আইনের উদ্দেশ্য পূরণকল্পে 41 [বিধি] দ্বারা নির্ধারিত অন্যান্য কার্যাবলী সম্পাদন ও কর্তব্য পালন৷
